ANNUAL BUSINESS MEETING MINUTES
Wayne
Hunter gave the invocation.
Approval of 2005 Minutes: A motion was made and seconded to waive the reading of the
2005 minutes and approve as posted. The
motion passed.
Old Business:
Wayne Hunter presented the
Treasurer’s report and proposed budget.
After discussion a motion was made by Jeff D’Amelio and second by Saul Speights
to approve the treasurer’s report. The
motion passed. Again after discussion a motion was made by Jeff D’Amelio
and second by Saul Speights to accept the recommended budget as presented. The motion passed.
Basketball – Tentative dates for clinics and meetings were given by
Ted Bedford. These will be posted on the MFOA web at a later date.
Banquet: An update on
the 2006 Installation and Awards Banquet, which will be held on July 8, 2006 @ the
Ocala Agriculture Center, was given by Ralph Messer. Members were advised that
there had been comments regarding the format of the banquet, i.e., Family style
(including children that live at home) Vs Member and Spouse/Date only. The
membership indicated that they would like for it to remain Family style.
Members were advised to RSVP as soon as possible.
Awards, which were
received from the FHSAA, were given to members of the MFOA.

Motion by Terry Lee and seconded by Saul Speights to rename this
award the Lee Scruggs Memorial Sportsmanship Award in recognition of Lee’s many
years of faithful service to the MFOA and the schools and athletes serviced by
the MFOA. The motion passed unanimously.
Proposed Changes to MFOA
Constitution and Policies and Procedures:
(There were 51 members present. Under MFOA guidelines a 2/3 majority vote is
required to pass and amendment. Therefore 34 votes for were required.

Policy Change
Section 003. Booking Policy: Under Local Clinics, add Officials working a non-paid
scrimmage shall receive 2 points (1
clinic credit) per hour. Reason: To
reward officials for participating in these non-paid scrimmages. It may also
entice additional participation. Motion to
accept by Reid Sergent, second by Jeff Nakamura. After much discussion, a motion to amend by Wayne Hunter and
Second by Jeff D’Amelio to read Officials shall receive 2 points (1 clinic
credit) in lieu of attending a study session. The motion to amend failed. Motion to amend by Wade Clayton and
Seconded by Saul Speights to receive 2 points total for a any scrimmage worked.
This motion to amend failed. Motion by Ted Bedford and second by
Paul Gery to amend the original motion to read officials shall receive 2 points
for a maximum of 4 points (2 clinic credits) for non-paid scrimmages booked and
approved by the MFOA. The motion to amend passed. The original motion as
amended passed with 35 voting for the amendment and 14 against.

Currently reads: Contracts shall be mailed to
the schools annually and will be worded to the extent that there is no conflict
with this policy.
a. Contract administration
shall be the responsibility of the Commissioner. In order to ensure prompt
handling of contracts and to meet all booking deadlines, each contract will be
mailed to and received from the schools by the Commissioner. The fees from each
school will be given to the Treasurer by the Commissioner.
b. Member schools may elect
to contract for football, basketball or for both sports.
Change to Read: Add in the sentence after basketball add baseball and
softball. Then delete “both sports.” Same sentence add girls and boys.
Reason for Change: Clarifies that a. MFOA may contract with a school for any
number of sports and b. MFOA shall contract for both boys and girls basketball,
or none, but not just one. Motion by Jeff Nakamura and second by Bob Leahy to
accept. The motion failed to receive a
2/3-majority vote. However an
editorial change will be made in subsection b. to add baseball and softball.
Constitution Change:
Article IV. Officers
Currently reads:
1.The
officers shall be the President, Immediate Past President, Vice President,
Secretary, Treasurer, Booking commissioner(s) (hereafter referred to as the
Commissioner(s)), 3 Directors each from football and basketball (one from each
geographic area), and 1 Director each from baseball and softball.
2.
The President, Secretary, Booking Commissioner(s), 1 Director in football, 2
Directors in basketball, and 1 Director in softball will be elected in odd
numbered years. The Vice President, Treasurer, 2 Directors in football, 1
Director in basketball, and 1 Director in baseball will be elected in even
numbered years.
3.
The Immediate past President shall serve one 2-year term commencing with the
election of a new President.
4.New
officers shall assume their duties after being installed at the annual
Installation and Awards Banquet.
5.If
a member misses 3 consecutive meetings or a total of 6 during the term, he/she
shall be replaced. Replacement shall be accomplished as provided for the
Article VII,6.
6.If
a member is unable to fulfill the term, the Board shall appoint a replacement.
If the term is for more than one year, a special election will be held at the
annual meeting. If elected to a different office during the current term, the
previous office held will be declared vacant and a special election held to
fill the remainder of the term.
7.No
one having been suspended by the MFOA or FHSAA may serve or be nominated as an
officer for a period of 2 years from the date of the suspension.
8.Dues
and booking fees shall be waived for board members during their terms. Any
member who fails to fulfill his/her term will be required to pay all current
dues and fees.
9.
No purchases of any individual items not included in the annual budget for the
MFOA without executive board approval.
Change to Read: Add new section 5. Any officer must declare the MFOA as
their primary association. He/she cannot (as an officer) be a primary member of
another association. If the proposal passes, renumber the remaining
subsections.
Reason for Change: No provision in place to cover this. Motion by Jeff Nakamura and second by Bob Leahy to accept. During
discussion it was pointed out that this is not the case in the MFOA nor has it
ever been. The motion failed to receive
the required 2/3-majority vote.
Article IV. Officers
Change to read: Add Section 10 (or 11) Any officer contacted by a school not
under contract with the MFOA for that sport or not under contract with MFOA at
all, and wishes to use MFOA for the next sport season, must bring this proposal
to the board. The board will meet and make the decision whether MFOA offers the
school a contract. To accept the board will have to have a 2/3-majority vote.
a. If this information comes to the board before
the annual meeting preceding the next school year, the membership will be
allowed to vote (2/3 majority) on the issue at the annual meeting. Motion by
Nakamura and second by Leahy to accept. After discussion, Leahy made a motion to amend by eliminating
subsection a. of the proposal. Second by Paul Gery. The amendment to the motion passed. The motion as amended passed.
Recommended changes submitted by

Article V. Duties of the Officers
and Executive Board
The Secretary Shall:

Record
the minutes of all business and Board meetings.

copies of the minutes to members who request same.

registration forms to members from the previous year.

Register
new officials at the pre-season and all-day clinics.
e.
Prepare
and distribute a telephone list of MFOA members and a Relative Rating Roster
for each sport.
f.
Maintain
records of clinic attendance.
g.
Report
number of varsity games worked to the FHSAA.
h.
Distribute
to each member, a copy of the MFOA constitution and all changes. Members are
required to sign for same at the beginning of each season.
i.
Maintain
an inventory and location of all equipment owned by the MFOA.
Change to Read: Amend
subsection a. to read, Record the minute of all business and board meetings and
have the minutes of these meetings posted on the MFOA website under the section
NEWS.
Reason for Change: More informed membership. Motion by Leahy and second by Nakamura to accept. The motion passed.

Written notice, post marked at least 7 days prior to the meeting, must be given. Board meetings may be held following clinics of each sport and do not require notice. Meetings called by the Board may be by the President and/or Vice President. All meetings are open to the membership.
Change to Read: MFOA business will be
conducted at the annual meeting or at meetings called by the Executive board
(Hereafter referred to as the Board). Written notice, post marked at least 7

following a clinic and prior notice was not announced, the attendees of that
clinic will be informed of the board meeting. All other board meetings will be

are open to the membership.
Reason for Change: More informed membership. Motion by Leahy and second by Nakamura to accept. No vote was
taken on the motion, however it was agreed that the words Written Notice will be changed to POSTED NOTICE, whenever possible. It was pointed out that there are
times, in the event of an emergency or when a meeting is called to act on the
directions of the FHSAA, notice to the membership is not possible.
Section 003. Booking Policy,
Subsection 11
Currently Reads:
11. Varsity Primary and Varsity Alternate Referees
will hold an FHSAA rating of 1. JV/9th grade Referees will hold an
FHSAA rating of 2 or higher. An adequate number of varsity alternates and JV/9th
grade referees shall be selected and only those selected by the Committee will
be used as Referees at any level.
Change to Read: Varsity Primary and Varsity
Alternate Referees will be a FHSAA rank 1 or rank 2 official with a minimum of
five years experience or its interscholastic equivalent. JV/9th grade
Referees will hold an FHSAA rating of 2 or higher. An adequate number of
varsity alternates and JV/9th grade referees shall be selected and
only those selected by the Committee will be used as Referees at any level.
Reason for Change: Same standard as those set forth in the FHSAA Officials
Guidebook. Motion by Leahy and
second by Nakamura. The motion passed
with 35 votes.
Currently Reads:
a.
Assume
the duties of the President in his/her absence.
b.
Serve
as Chairperson of the Recruiting Committee.
c.
Handle
all matters as directed by the President.
d.
Monitor
the MFOA insurance program to ensure adequate coverage exists for both health
and civil liability.
e.
Succeed
the President should he/she resign or not be able to continue in the office of
President for any reason.
Amend to Read: Delete sub-sections b and d.
Reason for Change: After spending several years
as the Chairperson of the Recruiting Committee, the Vice President can get
“burn out” and tends to run out of fresh ideas regarding recruitment. Rotation
of the Chairperson among the other members of the board or by appointment from
the membership at large could eliminate these problems. Motion by Messer and second by Paul Gery to accept. The motion passed with a 2/3-majority vote.
ARTICLE
XII. BUDGET, FEES, AND COMPENSATION, SUBSECTION 5
Currently
reads:
Travel fees will be determined at
the annual meeting during the budget hearing. However, if a rate of less than $
50 per mile, one car, one way, is used it shall be for regular season games and
invitational tournaments ONLY.
Amend
to Read: Delete entire subsection.
Reason
for Change: The MFOA currently charges $ .60 per mile, one way, one car, and no
longer have a cap on mileage fees. Motion by Messer and second by Ricky Howard
to accept. The motion passed with a 2/3-majority vote.
Policies and Procedures:
Section to Amend: SECTION…003 BOOKING POLICY,
Sub-Section 13
Currently reads:
13. Playoff
crews,
based on the selections made by the Recommendations Committee and approved by
the MEMBERSHIP for football,
basketball, baseball and softball, shall be submitted to the FHSAA by the
Board. Selections made by the Recommendations Committee shall be in the manner
prescribed by the FHSAA.
a. Selections will also be based on performance
during current and previous seasons, appearance, and evaluations, using the
relative rating roster as a guide.
b. Football crews will be booked for extra games
on Thursdays and Saturdays in order for them to gain experience of working
together as a crew. Varsity games on Thursdays and Saturdays are considered
extra only after all eligible officials have been booked in that week.
c. Primary white hats, in football, and their
entire football crew, if FHSAA eligible MAY
be submitted as play-off crews unless recommendations committee recommends
otherwise and their recommendation is approved by the membership. The committee
shall total combined points of each recommended crew to determine the rating of
each crew and the order in which they will be submitted to the FHSAA. Any
member of the MFOA may be excluded based on subsection a.
d. The top ten (10) rated
basketball officials can recommend their crew for either boys or girls playoff
crews, but not both. They may select any FHSAA play-off eligible official (3
times the number of crews to be submitted). The rest of the crews will be put
together using the relative rating scale as a guide. The crews will be rated by
combined points of the crew. Any FHSAA qualified official can be excluded from
play-off consideration based on performance, appearance, and evaluations. The
performance and appearance must be documented on an evaluation form and
submitted to the basketball directors and the recommendations committee.
Amend to Read: Add
sub-section e: If the membership does not approve the recommendations made by the
Recommendations Committee at the meeting scheduled for this purpose,
recommendations will be taken from the floor until final selections are made.
Reason for Change: Current procedure takes
entirely too long with committee having to reconvene, if its recommendations
are not accepted, to discuss possible changes and recommendations. Eliminates a time lag of the committee
having to reconvene and the possibility of having to call a special meeting of
the membership or changing a meeting date in order for the recommendations to
be accepted. Motion by Messer and second by Wayne Hunter to accept. The motion passed with a 2/3-majority vote.
Currently Reads:
1. Dress shall be as prescribed by the FHSAA in the current FHSAA Officials guidebook. Deviations are not authorized.
2.
Each
MFOA member shall have in his/her possession and available for use at all
games, all combinations required by the National Federation and FHSAA,
including a long sleeve shirt for football. The Referee will make the decision
for uniform combination dress. (E.g. long sleeve shirt, shorts).
Amend
to Read: Add subsection 3: Basketball officials may wear gray shirts, providing
all officials of a crew have a gray shirt and the gray shirt has been approved,
in writing, by the FHSAA. If all members of a crew do not have a gray shirt,
then the traditional black and white shall be worn.
Reason
for Change: Many MFOA officials have expressed the desire to wear the
gray shirts and the majority of the other associations are already wearing
them. Note: It has
been rumored that the gray shirt will be made mandatory for the 2006-07 season
by the FHSAA. In that case, this subsection would become void. Motion by Messer
and second by Paul Gery to accept. After much discussion, the motion passed.
