GANG GANG - Membership Bylaws

ARTICLE 1: NAME

The club name shall be the "Gainesville Amiga Users Group", Hereafter referred to as "G.A.N.G".

ARTICLE 2: PRINCIPLE OFFICE

The principle office shall be 2013 NE 55th Boulevard; City of Gainesville; County of Alachua; State of Florida; Zip Code 32641. The club may designate other offices or an alternative office if voted upon by the executive committee.

ARTICLE 3: PURPOSES

The purposes of the G.A.N.G. shall be, but are not restricted to: a) To serve as a clearing house for items of interest to the membership concerning computer software, computer programming, and the availability of new hardware and software. b) To share public domain and shareware computer software programs among the membership. c) To issue a newsletter at periodic intervals. d) To maintain contact with Amiga hardware and software vendors for the purpose of solving problems encountered by the membership.

ARTICLE 4: MEMBERSHIP

a) Regular membership -- anyone interested in computer usage. Membership shall be for the entire family. b) Voting -- all regular members are allowed one voter per family unit if they are current dues-paying members.

ARTICLE 6: DUES

Dues shall be assessed on a yearly basis. The amount of dues shall be determined by a majority vote of the membership. One payment of dues includes the entire family. Changes in dues structure shall be done by a majority vote of the membership but not more often than every six months.

ARTICLE 7: MEETINGS

Regular meetings will be held on the second Wednesday of each month. Additional meetings may be scheduled on due notice by the executive committee. Any vote to change the Bylaws, to elect officers, or to expend over fifty dollars (%50.00) shall be announced in the newsletter at least five (5) days in advance of a regular meeting. A Quorum shall consist of twenty percent (20%) of the dues-paying members.
OFFICERS AND COMMITTEES
a) Elective Officers -- the elective officers shall be: Coordinator, Treasurer, Librarian, and Newsletter Editor. Additional elective officers may be added as needed, when approved by a majority vote of the membership. b) Standing Committees -- The G.A.N.G. shall establish standing committees as are deemed necessary by a majority vote of the membership. c) Ad Hoc Committees -- Ad Hoc Committees shall be appointed for a specified time duration by the executive committee to assist them in the affairs of the club.

ARTICLE 9: BYLAWS

Bylaws shall be adopted by a majority vote of the membership. Once adopted, the bylaws are binding on the entire membership until these bylaws are amended or dissolved.

ARTICLE 10: AMENDMENTS TO THE BYLAWS

Bylaws may be amended in whole or in part by a majority vote of the membership at a regular meeting.

ARTICLE 11: DISSOLUTION OF THE G.A.N.G.

The G.A.N.G. may be officially dissolved by a majority vote of the membership at a regular meeting. All liabilities of the club will be met by the sale or disposition of any assets or, if necessary, by a levy on the existing membership. All assets shall be disposed of by the executive committee and these assets shall be distributed in accordance with the desires of the existing membership by a majority vote of that membership.

ARTICLE 12: EFFECTIVE DATE OF BYLAWS

These bylaws shall be distributed to the entire membership and will be voted upon, amended, or changed at the next earliest meeting of the G.A.N.G. At such time as the majority of the membership approve these bylaws, they shall become effective as of that date.

ARTICLE 13: ELECTIONS

Nominations for all offices set forth in Article 8, will be held on the first meeting in March. Elections for said offices will be held on the first meeting in the month of June. Transfer of offices and responsibilities to duly elected officers will take place July first. Should any officer be unable to fulfill his or her term of office, the remaining officers will appoint a stand-in or assign the duties and responsibility to another officer.

ARTICLE 14: PROFIT STATUS

The G.A.N.G. exists solely as a not for profit organization.

ARTICLE 15: PIRACY OF COPYRIGHTED MATERIALS AND SOFTWARE

Distribution of copyrighted software or copyrighted printed materials at any club function, meeting or activity is strictly prohibited unless permission is given by the author(s).
